Definitions

In these Terms, the following definitions apply:

• "Sekapack" refers to Sekapack Global, a packaging manufacturer registered in Istanbul, Turkey
• "Client" or "Customer" means any business entity placing an order with Sekapack
• "Products" means all packaging goods manufactured and supplied by Sekapack
• "Order" means a confirmed purchase order accepted in writing by Sekapack
• "Artwork" means all design files, logos, graphics and print-ready materials submitted by the Client
• "Proof" means a digital or physical pre-production sample submitted for Client approval
• "Specifications" means the agreed dimensions, materials, quantities and finishes documented in the Order

Orders & Contracts

Order Acceptance

An order is only binding upon Sekapack when confirmed in writing by an authorised Sekapack representative. Quote documents, price lists and website content do not constitute offers. Sekapack reserves the right to decline any order at its discretion.

Order Amendments

Client-requested amendments to confirmed orders are subject to feasibility and may incur additional charges. Amendments to specifications, artwork or quantities after production has commenced may not be possible without incurring cancellation costs.

Client Obligations

The Client is responsible for:

• Providing accurate specifications and artwork files meeting Sekapack's requirements
• Approving proofs in a timely manner
• Ensuring any third-party intellectual property included in artwork is properly licensed
• Making timely payments in accordance with agreed terms

Pricing & Payment

Pricing

All prices are quoted in EUR unless otherwise agreed. Prices are valid for 30 days from the date of quotation unless stated otherwise. Sekapack reserves the right to amend prices due to significant changes in raw material costs, currency fluctuations or shipping costs after quotation.

Payment Terms

• 50% non-refundable deposit due upon order confirmation
• Remaining 50% due before dispatch of goods
• Extended credit terms available for approved accounts only

Late Payment

Overdue invoices may incur interest at 1.5% per month. Sekapack reserves the right to withhold production or shipment pending payment of outstanding amounts. Persistent late payment may result in withdrawal of credit terms.

Taxes & Duties

Prices are exclusive of VAT, import duties and taxes unless explicitly stated in the quotation. Under DDP terms, Sekapack handles EU import duties on the Client's behalf; these costs are included in the quoted price.

Production & Delivery

Lead Times

Lead times begin upon receipt of both the deposit payment and approved artwork. Estimated lead times are provided in good faith and are not guaranteed. Sekapack will notify the Client of any significant delays.

Quantity Tolerances

Due to the nature of print manufacturing, delivered quantities may vary by up to ±5% of the ordered quantity. Invoicing will reflect the actual quantity delivered. Clients are advised to account for this tolerance when planning campaigns.

Risk & Title

Risk in goods passes to the Client upon delivery. Title passes upon receipt of full payment. Under EXW terms, risk passes upon collection from our facility.

Intellectual Property

Client Artwork

The Client warrants that all artwork, logos and designs submitted do not infringe any third-party intellectual property rights. The Client indemnifies Sekapack against any claims arising from infringement of third-party rights in Client-supplied materials.

Confidentiality

Sekapack treats all Client artwork, product designs and business information as strictly confidential. We will not share, reproduce or use Client designs for any purpose other than fulfilling the Client's order. All Client designs remain the exclusive property of the Client.

Sekapack Materials

All structural designs, technical drawings and manufacturing processes developed by Sekapack remain the intellectual property of Sekapack. Clients may not reproduce or share Sekapack's proprietary structural designs without written consent.

Liability

Limitation of Liability

Sekapack's total liability to the Client in respect of any single order shall not exceed the invoice value of that order. Sekapack shall not be liable for indirect, consequential or economic losses including loss of profit, loss of business or loss of opportunity.

Warranty

Sekapack warrants that products will be manufactured in accordance with the agreed specifications and using materials of the grade specified. This warranty does not apply to defects caused by Client-supplied artwork, improper use, or storage conditions beyond Sekapack's control.

Governing Law

These Terms are governed by the laws of the Republic of Turkey. Any disputes arising from these Terms or any order shall be subject to the exclusive jurisdiction of the courts of Istanbul, Turkey, unless otherwise agreed in writing.

For international clients, Sekapack is open to agreeing alternative dispute resolution mechanisms such as ICC arbitration. Please raise any such request at the time of order placement.

These Terms were last updated in March 2026. Sekapack reserves the right to update these Terms at any time. The version in effect at the time of order confirmation governs that order.
